跨國并購國家安全審查制度國外經驗借鑒-藏刊網

摘要

跨國并購又稱外資并購，隨著經濟全球化的發展，跨國并購成為國際間經濟交往的主要模式。在我國，伴隨著國家的日益崛起，經濟實力的日益增強以及開放程度的日益提高，跨國并購逐漸取代傳統的“綠地投資”成為我國對外投資的主要方式。但是，與美國、日本、加拿大這樣的發達國家相比，由于我國缺乏健全的。

跨國并購國家安全審查制度，中國企業跨國并購失敗者的案例中，除資金、技術、本土文化等原因以外，法律風險成為失敗的重要原因?？鐕①徶械膰野踩絹碓揭鹑藗兊闹匾?，成為人們日益關注的焦點。

本文除了引言和結論外，分為三大部分。第一部分是跨國并購國家安全審查制度的概述。這部分主要是一些基本概念和基本理論，比如，“跨國并購”“國家安全”的概念，跨國并購的發展趨勢，跨國并購對于國家安全的影響等等，通過這些介紹一方面便于讀者對于跨國并購國家安全的基本理論和基本概念有一個認識，另一方面為下文的具體介紹做一個鋪墊。

第二部分是關于世界各國國家安全審查制度的比較，這部分在文章中起承上啟下的作用，筆者主要通過比較美國、日本、加拿大這三個國家跨國并購國家安全審查制度的歷史沿革、主要內容、發展趨勢目的是為我國建立完善的國家安全審查機制提供樣扳。

第三部分是文章最核心和最關鍵的部分，這部分筆者主要論述我國國家安全審查制度的研宄現狀和不足，并且結合2015年1月我國出臺的《中華人民共和國外國投資法（草案征求意見稿）》提出筆者的建議。

Abstract

Cross-border mergers and acquisitions,also known as foreign mergers andacquisitions,with the development of economic globalization,transnationalmergers and acquisitions to become the main mode of international economicexchanges. In China, along with the country's rising power, increasingopenness and increasing economic strength, cross-border mergers andacquisitions gradually replacing the traditional “green field investment” hasbecome the main form of China's foreign investment.

However, compared with developed countries like the United States,Japan, Canada, due to the lack of cross-border mergers and acquisitions ofsound national security review system,Chinese enterprises' multinationalmerger loser's case, in addition to capital,technology,local culture and otherreasons,legal risks an important reason for the failure. Cross-border mergersand acquisitions in the national security more and more people's attention,become the focus of growing concern.

In addition to the introduction and conclusion of this article is divided intothree parts. The first part is an overview of cross-border M & A nationalsecurity review system. This part is some of the basic concepts and theories,such as “cross-border M & A,” “national security” concept, the developmenttrend of cross-border mergers and acquisition, cross-border mergers andacquisitions for the national security implications,and so on,through thesepresentations on the one hand to facilitate cross-border mergers andacquisitions readers the basic theory and basic concepts of national securityhave an understanding, on the other hand to the following detaileddescription to be a foreshadowing.

The second part is more on national security review system of the world,this part of the article plays the role of nexus, the author mainly by comparingthe United States, the history of Japan, Canada, the three countriescross-border M & A national security review system, the main content,trendsin order to establish a sound national security review mechanism to provide amodel for our country.

The third part is the most central and most critical part of the article,whichis part of the research the author discusses the status and lack of nationalsecurity review system,and the combined January 2015 China promulgatedthe “People's Republic of China Foreign Investment Law （Draft ） ”,I putforward the proposal.
